Terms of Service

1. Acceptance of Terms

By accessing or using CulinarySage ("the Service," "we," "us," "our"), you ("User," "you") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to all terms herein, you must immediately cease use of the Service. These Terms constitute a binding legal agreement between you and CulinarySage.

2. Description of Service

CulinarySage provides AI-powered culinary tools including recipe analysis, ratio diagnostics, ingredient management, personalized recipe generation, nutritional tracking, and event menu curation. All outputs are generated by artificial intelligence and are inherently probabilistic. CulinarySage does not guarantee that any output is:

• Accurate, complete, or error-free
• Safe for consumption by individuals with specific allergies, intolerances, or medical conditions
• Suitable as a substitute for professional culinary, dietary, or food-science advice
• Compliant with local food handling regulations or commercial kitchen standards

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use this Service. By using CulinarySage, you represent and warrant that you meet these requirements.

4. User Responsibilities

• You are solely responsible for all recipes, content, and data you submit to the Service.
• You must maintain the confidentiality of your account credentials and are responsible for all activity under your account.
• You agree not to submit content that is unlawful, harmful, defamatory, or infringes the intellectual property rights of any third party.
• You agree not to use the Service for any commercial food service business without independently verifying all AI outputs with qualified culinary or food-safety professionals.
• You agree not to attempt to reverse-engineer, scrape, or otherwise extract data or algorithms from the Service.

5. Food Safety & Allergen Liability Waiver

You expressly acknowledge and agree that:

• CulinarySage AI may not accurately identify all allergens present in or introduced by a recipe. You are solely responsible for verifying allergen safety before preparing or serving any dish.
• AI-generated recipes and suggestions have not been tested in a physical kitchen and may contain errors in quantities, techniques, or ingredient combinations.
• Any adverse health outcomes, allergic reactions, food-borne illness, or property damage arising from the use of CulinarySage outputs is entirely the User's responsibility.
• CulinarySage shall not be liable for any harm resulting from the preparation, consumption, or distribution of any food based on our AI outputs.

6. Intellectual Property

All AI-generated analyses, corrected recipes, technical notes, diagnostic reports, and other content produced by CulinarySage are the exclusive proprietary property of CulinarySage and its operators. You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to use this content solely within the platform for your internal business purposes. You expressly agree:

• NOT to copy, reproduce, distribute, share, forward, screenshot, or otherwise transmit any CulinarySage-generated content to third parties outside the platform without explicit prior written consent.
• NOT to use CulinarySage content for any commercial purpose beyond your own internal kitchen operations without a separate commercial license agreement.
• That all exports, emails, and shares initiated through the platform are logged and may be audited.
• That unauthorized distribution of proprietary content constitutes a material breach of these Terms and may result in immediate account termination and legal action, including claims for damages.

CulinarySage reserves the right to implement technical measures to watermark, trace, and identify the origin of any content distributed without authorization.

You retain full ownership of all original recipes and content you submit. By submitting content, you grant CulinarySage a limited, non-exclusive, royalty-free license to process that content solely for the purpose of providing the Service.

7. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CULINARYSAGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY:

• Failed recipes, culinary disasters, or financial losses resulting from following AI suggestions
• Allergic reactions, food poisoning, personal injury, or death arising from AI-generated content
• Loss of data, business interruption, or loss of profits
• Indirect, incidental, special, consequential, or punitive damages

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify, defend, and hold harmless CulinarySage and its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit to the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Termination

We reserve the right to suspend or terminate your account and access to the Service, with or without notice, for any violation of these Terms, suspected fraudulent activity, or misuse of the platform. Upon termination, your right to use the Service immediately ceases. Sections 6, 7, 8, and 9 survive termination.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall first be submitted to good-faith mediation. If unresolved, disputes shall be settled by binding arbitration in Denver, Colorado, under the rules of the American Arbitration Association. You waive any right to participate in a class-action lawsuit.

12. Changes to Terms

We may update these Terms at any time by posting the revised version on this page with an updated effective date. Material changes will be communicated via email where possible. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
